Agreement to terms
These Terms and Conditions, together with any Service Agreement, constitute a legally binding agreement between the Client identified in the Service Agreement and RiverAI.dk ("RiverAI", "we", "us"), regarding Client's access to and use of https://riverai.dk (the "Site") and related Services. By accessing the Site or engaging our Services, the Client agrees to be bound by these Terms. RiverAI reserves the right to update or modify these Terms at any time. Updates will be posted on the Site, and continued use after posting constitutes acceptance.
Client access and client data
RiverAI grants the Client a limited, non-exclusive, non-transferable license to access and use the Services for internal business purposes. Access is limited to authorized users designated by the Client. The Client retains ownership of all personal data and business data uploaded or shared with RiverAI. The Client grants RiverAI a non-exclusive, royalty-free license to use such data solely for delivering Services. RiverAI may use anonymized insights derived from providing Services to improve its technology.
In line with the EU Data Act (Regulation (EU) 2023/2854), Clients have the right to free access to data generated through the Services (e.g., interaction logs or leads co-generated with RiverAI). Upon request, RiverAI will provide this data in a structured, machine-readable format and facilitate its transfer to a third party of the Client's choice, subject to fair terms (e.g., no disproportionate fees) and protections for trade secrets. Requests can be submitted to support@riverai.dk, with fulfillment within one month where feasible.
RiverAI's intellectual property rights
All intellectual property, software, designs, code, trademarks, graphics, and content provided by RiverAI remain the exclusive property of RiverAI. Clients may not copy, modify, sublicense, reverse-engineer, or otherwise exploit RiverAI's IP beyond the scope of permitted access.
Client representations
By using the Site or Services, the Client warrants that:
- All information provided is true, accurate, and complete.
- The Client has legal authority to engage RiverAI.
- The Services will not be used for unlawful or unauthorized purposes.
- The Client complies with GDPR and applicable data protection regulations in collecting and transferring any personal data.
- The Client has obtained necessary consents from its customers before sharing their data with RiverAI.
- For website-related Services, the Client warrants that all content provided (e.g., images, text) does not infringe third-party rights and complies with the Danish Marketing Practices Act.
Registration and security
Clients may be required to create accounts for access. Clients are responsible for safeguarding login credentials and all activities under their accounts. RiverAI may suspend accounts if unauthorized use or security concerns arise.
Confidentiality
Both Parties may share confidential information during the course of collaboration. Confidential information includes business, technical, and customer data. Each Party agrees to safeguard such information with the same level of care it uses for its own confidential data, and not disclose it except as required for Services or by law.
Cancellation & termination
Either Party may terminate Services in accordance with the Service Agreement. Clients remain responsible for fees accrued up to the effective termination date. RiverAI may suspend or terminate access immediately if the Client breaches these Terms, misuses the Services, or violates applicable law.
Prohibited activities
Clients may not:
- Use the Services for unlawful purposes.
- Upload malware or harmful code.
- Harass, abuse, or harm others using the Services.
- Attempt to bypass security controls.
- Interfere with system performance or disrupt other users.
- Misrepresent identity or use automated bots to abuse the system.
Warranties & disclaimer
RiverAI warrants that its Services comply with applicable laws. Except for this, Services are provided "as is". RiverAI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. RiverAI further disclaims any liability for errors, inaccuracies, or omissions in Client-provided data or third-party integrations, including but not limited to data loss or corruption arising from such sources.
Privacy policy
RiverAI cares about data privacy. Please review our Privacy Policy. By using our Services, the Client consents to data processing as described therein, including international transfers of personal data where necessary.
Modifications & interruptions
RiverAI reserves the right to modify, suspend, or discontinue parts of the Site or Services without notice. We are not liable for downtime, interruptions, or delays caused by force majeure events (e.g., acts of God, war, terrorism, pandemics, strikes, or third-party failures) or beyond our reasonable control.
Limitation of liability
To the maximum extent permitted by law, RiverAI shall not be liable for indirect, incidental, or consequential damages. Direct liability is capped at the fees paid by the Client in the preceding 6 months. Notwithstanding the foregoing, this limitation shall not apply to damages arising from RiverAI's gross negligence, willful misconduct, or breach of data protection obligations under GDPR.
Indemnification
Clients agree to indemnify and hold RiverAI harmless from claims, damages, or expenses arising from Client misuse of Services, breach of these Terms, or violation of third-party rights. RiverAI agrees to indemnify the Client for claims arising from RiverAI's infringement of third-party intellectual property rights in the Services, except where caused by Client modifications or combinations with non-RiverAI materials, subject to the limitations in the Limitation of Liability section.
Governing law & dispute resolution
These Terms are governed by Danish law. Disputes will be subject to the exclusive jurisdiction of Danish courts.
Miscellaneous
- These Terms, together with the Service Agreement, constitute the entire agreement.
- If any clause is found invalid, the rest remain enforceable.
- RiverAI may assign its rights under these Terms; Clients may not without prior consent.
- These Terms are standard for the IT/SaaS industry in Denmark and do not expand liability beyond ordinary rules of Danish law. Any disclaimers of liability or waivers herein do not limit RiverAI's or its insurers' rights of recourse (regress) against responsible third parties.
